1. Acceptance of Terms

By accessing and using the MyClinic Space website https://myclinic.space, https://meet.clinic, https://clinic.page, and mobile application (collectively, the “Services”), registered with the Dutch Chamber of Commerce (KvK) under registration number 89469909, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use our Services.  

2. Use of Services

  • Eligibility: You acknowledge that MyClinic Space provides tools and technology for practice management, and it is your responsibility to ensure your use of these tools, including data handling and client interactions, complies with the legal and ethical obligations of your profession in your operating location.
  • Account Registration: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.  
  • Permitted Use: You agree to use our Services only for lawful purposes and in accordance with these Terms.

Prohibited Use: You agree not to:

  • Use our Services to transmit any unlawful, harmful, or offensive content.
  • Attempt to gain unauthorized access to our systems or data.
  • Interfere with the operation of our Services.
  • Violate any applicable laws or regulations.

3. User Content

  • Ownership: You retain ownership of any content you submit to our Services.
  • License: By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute your content in connection with our Services.  
  • Responsibility: You are solely responsible for the content you submit and agree that it does not violate any third-party rights.

4. Intellectual Property

  • Ownership: All content on our Services, including text, graphics, logos, and software, is owned by us or our licensors and is protected by intellectual property laws.

  • Payment Terms: Payment terms are as specified on our website or in your subscription agreement.

6. HIPAA Compliance

  • If you handle Protected Health Information (PHI), you agree to comply with all applicable HIPAA regulations.
  • You acknowledge that you are responsible for maintaining the security and confidentiality of PHI.
  • Business Associate Agreement (BAA) information.

7. Disclaimer of Warranties

  • Our Services are provided “as is” and “as available” without warranties of any kind.
  • We do not warrant that our Services will be uninterrupted, error-free, or secure.

8. Limitation of Liability

  • We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of our Services.
  • Our liability is limited to the amount you paid for our Services.  

9. Indemnification

  • You agree to indemnify and hold us harmless from any claims or damages arising from your use of our Services or your violation of these Terms.  

10. Termination

  • We may terminate your access to our Services at any time for any reason.
  • You may terminate your account at any time.
  • Upon termination, your right to use our Services will immediately cease.

11. Governing Law

  • These Terms and Conditions, and any disputes arising from or related to them, shall be governed by and construed in accordance with the laws of the Netherlands. In addition, as we provide services that may involve the personal data of individuals within the European Union, we adhere to the provisions of the General Data Protection Regulation (GDPR) and other applicable European Union regulations. Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.
